Reporting to the Senior Vice President & General Counsel, we seek an outstanding, seasoned, versatile commercial attorney to serve as Associate General Counsel at Washington Gas Light Company ("Company"). This critical role will focus on significant transactions, contract negotiations, drafting, and reviewing commercial arrangements. This position offers the incumbent the opportunity to work on significant and essential transactions throughout the Company, with its affiliates, and with its parent company (AltaGas, Ltd.). The Associate General Counsel will serve as a trusted, effective, and solution-oriented partner across departments, working with senior leaders in the company to develop and implement scalable programs and processes
Tasks and Responsibilities
Provide legal advice and services to the Senior Vice President & General Counsel, in-house counsel and senior leadership across the Company, its parent company AltaGas Ltd., and its affiliates.
Develop, draft, negotiate and review a wide variety of complex as well as day-to-day agreements, contracts and legal documents, including vendor/supplier contracts; master services agreements; master construction agreements, manufacturing engineering and licensing agreements; vendor/service providers such as SaaS; facility/building leases, transportation and logistics agreements; sponsorship and marketing agreements; vendor agreements; procurement documents; grant agreements; land agreements; real estate agreements; memorandums of understanding; letters of intent; confidentiality agreements and other commercial contracts and legal documents.
Provide advice and counsel regarding data privacy/security and IT matters, including advising regarding outsourcing arrangements, as necessary.
Provide advice and counsel to the Company’s supply chain management and information technology functions during the entire supplier contract lifecycle process and maintain the integrity of the Company approval process.
Actively engage with internal clients from multiple business units and departments, customers, vendors, and other third parties; provide practical, solution-oriented counseling and support in accordance with the Company's policies to the business in assigned areas of commercial transactions and related issues, including risk mitigation and dispute avoidance and resolution counseling.
Apply solid understanding of laws, regulations and legal principles relevant to day-to-day work and remain up-to-date with current legal risks to assess and proactively advise on potential or emerging business risks faced by the company.
Develop a strong relationship with other in-house counsel, internal clients and stakeholders and proactively support and in some cases serve as the primary legal lead for assigned strategic initiatives.
Proactively manage outside counsel on various matters.
Keep informed of industry-specific trends and regulations and ensure that appropriate risk management strategies are in place including updating contract terms.
Develop and maintain best practices regarding the Company's contracts and business transactions. Communicate and train on contract templates, required/preferred language and provisions, and provide guidance to business stakeholders early in the contract development process.
Assist the Company, its subsidiaries, and its affiliates in their general corporate affairs.
Participate in the formulation of the strategic direction and operating plans for the Office of the General Counsel.
Determine and execute legal strategies for assigned legal areas of specialization.
Assist with establishing and continuously improving departmental systems, policies and processes within the Office of General Counsel.
Qualifications, Skills and Abilities
10+ Years progressive legal experience with a mid- to large-size corporation or law firm, with at least 5 years specializing in drafting and negotiating complex commercial agreements, and interacting with project management, procurement, legal department members and management personnel.
Experience handling a variety of complex legal matters or projects.
Experience in cross-border (US-CAN) commercial issues favored.
Experience with Supply Chain transactions and IT and/or outsourcing transactions, as well as data privacy/security is desirable.
Membership in good standing of at least one state bar; law license in the District of Columbia, Maryland or Virginia required within one year of hire.
Demonstrated ability to establish successful business relationships and think in practical, solution-oriented and commercial way.
Demonstrated extensive knowledge of several legal disciplines and the practices and procedures required to solve highly complex work initiatives in a legal environment.
Proven ability to successfully negotiate business agreements and to resolve disputes with business partners.
Demonstrated ability to conceptualize and analyze multiple scenarios in solving broadly defined or complex business problems.
Demonstrated ability to effectively communicate complex messages to diverse audiences at all organization levels.
Proven ability to use computer software and applications, including Microsoft Office, Teams, and Excel to share, retrieve, research and present business and legal information.
Experience in the field of energy or another highly-regulated industry preferred.
