Supervises: None

Basic Function: Provides guidance and support on moderately complex organizational legal issues under general supervision.

Qualifications:

Degree from an American Bar Association accredited law school and licensed to practice law in the State of New Jersey

Two to four years’ legal experience in a corporate, governmental agency or law firm.

Essential Functions:

  1. Writes, reviews, and advises on moderately complex legal contracts and agreements.

  2. Represents the organization in legal matters.

  3. Researches and analyzes laws and regulations for clients.

  4. Represents clients in court when needed.

  5. Anticipates and guards against legal risks involving the organization.

  6. Gathers evidence to formulate defense or to initiate legal actions. Possesses solid working knowledge of subject matter.

  7. May provide guidance and mentoring to lower level legal positions.

  8. Perform duties inherent in all supervisory, professional and administrative positions. Consistent with all positions in this classification, additional projects, tasks and/or duties beyond what is outlined here may be assigned as required

Required:

Labor and Employment - Specializes in employment laws and provides legal assistance to both employees and employers; interprets and prepares legal documents, analyzes proposed and existing legislation, reviews company policies, monitors and ensures legal compliance, and advises management on legal matters to guard the organization against legal liabilities; advise on internal investigations; handles union grievances and labor relations; knowledgeable in various state and federal regulations such as FLSA, FMLA and ADA.

Litigation - Provides legal counsel associated with litigation; represents clients in civil litigation and other legal proceedings; advises clients and draws up legal documents; prepares cases for defense; participates in trial preparation, discovery and negotiations; compiles information for court cases.

Contracts - Drafts, reviews and negotiates contracts on behalf of the organization.

Real Estate – Provides guidance and support on real estate related legal issues; writes, reviews, and advises on leases, deeds, purchase or sale agreements, or related legal documents; represents the organization in legal matters; researches and analyzes real estate related laws and regulations for clients.

IT – Cybersecurity issues, vendor contract review; access agreements draft policy for information security issues; participates in cyber incidents and investigations related to compromised access to technology systems.

Environmental – Permitting process, drafting and negotiating access agreements and environmental clean-up sites.

Business Transactions – Advising on various merger and acquisition transactions, assisting and providing counsel on asset management agreements and strategic initiatives, and developing projects to grow the business; work includes due diligence, contract and review and negotiation.

Utility Work – Advises business on construction issues, municipal zoning and approvals; navigating contractor disputes and assisting in the negotiations, litigation and/or settlement of disputes; claims management that arises from the utility; customer care issues both internal and external.

Board Governance – Assists in advising the board and senior team on best practices; monitor ISS guidance and applicable regulations; advises on any changes in guidance by SEC, NYSE or other regulatory body related to board governance; reviews internal policies and practices to ensure that the board is in line with its peers.
