Position Overview

As a Senior Contracts Specialist – Terms and Conditions you will serve as a subject matter expert on contractual/legal matters during the development, review, and execution of programs or contracts covering a variety of procurement spend categories (IT, Professional Services, Major Apparatus, Facilities and Construction, etc.). You will partner closely with Supply Management, Law, Risk, other Organizational Units and external parties on contracts and projects that are complex , requiring negotiating skills to build consensus with stakeholders, maintain partnerships and deliver successful results.

Typical Responsibilities include:

  • Developing and updating standard master agreement templates, transactional terms and conditions, and related exhibits.

  • Providing advice and support to internal clients/Procurement Agents during the contract negotiation/development phase.

  • Coordinating Supply Management consultations/discussions with the Law Department on contract/PO matters.

  • Developing risk assessments and mitigation plans; may perform analysis to support resolution of contract related issues post contract-award.

  • Work in collaboration with Supply Management personnel (e.g., Procurement Agents/Contract Managers) and other internal stakeholders in determining the appropriate contracting strategy to maximize the potential value to be received from the supplier, and understand the existing market conditions and the relationship to the materials/services being provided.

  • Leads and works with cross functional teams and forums across the company on projects/initiatives that are complex, requiring negotiating skills to build consensus with stakeholders, maintain partnerships and deliver successful results.

  • Perform other duties and responsibilities as assigned.


Minimum Qualifications:

  • Bachelor’s Degree in Business, Supply Chain or related field.

  • Seven years of experience managing contracts.

  • Three years of experience drafting, reviewing, negotiating complex contract language, statements of work, and/or RFP documents with suppliers.

Desired Qualifications:

  • JD/MBA

  • Certified Professional Contract Manager (CPCM), Certified Commercial Contract Manager (CCCM), Certified Purchasing Manager(C.P.M.), Certified Professional in Supply Management (CPSM)

  • Experience reviewing and explaining contractual terms and conditions to non-lawyers and non-supply chain stakeholders.

  • Experience managing multiple projects simultaneously and effectively.

  • Excellent oral and written communication skills, including oral presentations, group facilitation and negotiations.

  • Experience using Ariba Contract Management and SAP.

  • Ability to integrate work across relevant areas, develop the business and services to enhance customer satisfaction and productivity, manage risks appropriately, develop and execute business plans, manage information, and provide exceptional service to internal and external customers.

  • Effective resource and project planning, decision making, results delivery, team building, and the ability to stay current with relevant technology and innovation.

  • Strong ethics, influence and negotiation, leadership, interpersonal skills, communication, and the ability to effectively manage stress and engage in continuous learning.
