Job Summary

The role supports the Corporate Secretary department on Board of Directors, governance and subsidiary matters, which may include the following:

Performing subsidiary management duties, including:

  • Preparation and filing of annual reports and other related documents for Dominion Energy and its subsidiaries;

  • Preparation of annual meeting written consents for Dominion Energy’s corporate subsidiaries;

  • Accurate and timely entry of subsidiary corporate actions in to the company's subsidiary management system;

  • Maintaining corporate records, seals, minute books and other corporate documents for Dominion Energy and all of its subsidiaries to ensure accurate and complete files and documentation.

Providing support for Board of Directors meetings and related Board matters, including:

Coordination/gathering of meeting and non-meeting materials from management for delivery to Directors on the electronic Board portal, including editing and preparation of PowerPoint presentations, uploading of materials, and maintenance of user credentials;

Payment of and accurate tracking of Dominion Energy meeting attendance, fees and retainers as well as providing support as needed for the maintenance of various director compensation plans and programs;

Assistance with other Board related matters, including drafting meeting notices and other correspondence.

Supporting governance and compliance functions, including:

  • Monitoring shareholder communications, including emails and postal mail, to the Directors and assisting in the dissemination to the party;

  • Maintaining information and content of Governance webpage on dominionenergy.com;

  • Gathering and preparing supporting documentation for related party transaction testing;

  • Providing administrative support for the company’s management committees as needed;

  • Assisting with researching governance matters and preparing related presentation materials as needed.

Perform other duties as requested or assigned.

Required Knowledge, Skills, Abilities & Experience

3+ years directly related experience (with Bachelor's degree) or 5+ years directly related experience (with Associate's degree).

Specific knowledge, skills, abilities and experience include:

  • Strong proficiency and experience using Power Point (critical to success in position);

  • Proficiency and expertise with other Microsoft Office software applications (Word, Excel) and knowledge of filing and security features of these applications. Prefer experience with Visio;

  • High level of initiative and ability to exercise judgment and discretion regarding confidential material;

  • Proficiency and expertise with Diligent, Board Vantage or similar electronic Board portal software application;

  • Demonstrated attention to detail and production of error-free work product;

  • Strong oral and written communication skills; A

  • Ability to manage high volume of work and multiple projects, tasks and priorities;

  • Ability to work in a fast paced environment;

  • Ability to collect, compile and analyze information and data;

  • In depth knowledge and understanding of company policies, practices and procedures;

  • Strong planning and organization skills;

  • Proficient in use of SAP;

  • Knowledge of Dominion Energy Corporate and business unit structure.

  • Paralegal certification is helpful but not required.

The company is actively seeking United States military veterans and service members who meet the qualifications outlined above.

  • Military service members and veterans with ranks from E3-E5, W1-W2, or O1-O3, plus appropriate equivalent combination of education and years of experience as outlined above.

Degree or an equivalent combination of education and demonstrated related experience may be accepted in lieu of preferred level of education: Associate or Bachelor
