Position Summary

Provides legal counsel to Xcel Energy and management of Xcel Energy legal services, including outside counsel. Handles complex legal matters on a regular basis, oftentimes requiring creative solutions to challenging legal issues. Viewed as an expert within the company and legal community in designated practice area.

Essential Responsibilities

  • Provides leadership and counsel to Xcel Energy management on complex legal, business, legislation, regulation and strategic matters.

  • Prepares filings, contracts, pleadings, briefs and other documents for business transactions or legal proceedings.

  • Represents Xcel Energy in regulatory agencies and other adjudicatory or adversarial proceedings.

  • May serve in a lead role to provide overall practice expertise and direction of attorneys within area of expertise. May act as primary point of contact for business areas.

  • Provide legal advice and counsel with respect to securities laws and all public company disclosure matters, including drafting and reviewing filings with the U.S. Securities and Exchange Commission (e.g. Annual Reports on Form 1O-K, Quarterly Reports on Form 10-Q, and Current Reports on Form 8-K) and the advising with respect to the use of non-GAAP financial measures and other disclosure issues

  • Provide legal advice on debt and equity offerings and other corporate treasury matters.

  • Provide legal advice and counsel with respect to public company corporate governance matters, including shareholder relations and transfer agent issues, corporate governance documents, and compliance with stock exchange listing requirements

  • Monitor legal developments in assigned areas that could impact the company

  • Oversee and manage outside counsel and staff, as required

Minimum Requirements

  • Juris Doctorate degree from ABA accredited law school.

  • Licensed to practice in state where position is located.

  • 10+ years of practice in corporate law department, law firm, government practice or equivalent legal experience.

  • Leadership experience required.


  • Possess a thorough knowledge of Form 10-K, Form I0-Q and Form 8-K reporting requirements, the proxy disclosure rules, Regulations S-K and S-X, and other SEC rules and regulations affecting the disclosure obligations of public companies.

  • Candidates must be accomplished in legal drafting, with substantial experience drafting SEC filings, and have strong overall communication skills.

  • Strong analytical, organizational and interpersonal skills as well as the ability to command confidence and trust in judgments and recommendations is required.

  • Large law firm experience is preferred, but in-house experience, including experience working with Controllers and Investor Relations departments, is a significant plus.
