JOB DESCRIPTION

This position may be eligible for a hybrid work environment (combination of remote work and in-office reporting), with the coordination and approval of the appropriate supervisor. The position is located in Columbus, OH.

Position Title: Assistant General Counsel

Reports To: Senior Vice President and General Counsel

FLSA Status: Exempt

Basic Functions: The Assistant General Counsel provides legal research, advice and other legal assistance to AMP and its affiliates as directed by the Senior Vice President & General Counsel and Deputy General Counsel. This position also may provide counsel to staff and management and coordinate with outside legal counsel.

Essential Functions:

  1. Assists the Senior Vice President & General Counsel and Deputy General Counsel with various legal matters concerning AMP and its affiliates.

  2. Drafts and negotiates legal agreements with vendors and clients, including contracts related to the purchase and sale of power, purchase of goods and services, professional services, IT hardware and Software-as-a-Service, construction services and real estate acquisition and advises AMP Staff on contract language, legal obligations, and risks. Drafts contract templates to be used across the organization.

  3. Prepares contracts related to the provision of goods and services to municipal members, including the sale of power and associated goods and services. Demonstrates ability to interact professionally and to advise effectively a geographic variety of municipal members with a wide array of needs.

  4. Assists the Senior Vice President & General Counsel and Deputy General Counsel on developing and implementing corporate processes and policies to ensure compliance with applicable law and regulation within the electric utility industry, including generation and transmission operations. Further, assists General Counsel and Deputy General Counsel to research and facilitate internal and external strategies and to assure that AMP and its Affiliates’ policies and practices are in compliance with law and are strategically aligned with business priorities and organizational goals.

  5. Keeps abreast of legal and legislative changes that may affect AMP and its Members and research and reports to AMP stakeholders regarding same.

  6. Researches and analyzes applicable law and regulations and incorporates into legal memoranda, contracts and policies.

  7. Under the direction of the Senior Vice President & General Counsel, represents AMP in a court of law, administrative body or regulatory agency.

  8. Anticipates and mitigates potential legal problems involving AMP or its affiliates. Communicates directly with AMP staff across multiple departments or stakeholders to advise on legal issues, contractual obligations, and discuss strategies to mitigate risks.

  9. Assists in the preparation of reports or other communications to the AMP Board of Trustees and communications to Members regarding legal projects, compliance or issues.

  10. Manages various projects and deadlines in a high-volume business environment with often competing and ever-shifting priorities.

  11. Demonstrates strong appreciation for AMP’s Mission, Vision and Values and AMP’s Member focus, including a strong emphasis on a customer-service mindset.

  12. Other duties as assigned.

Knowledge, Skills, & Qualifications:

  1. Admitted to the practice of law in the State of Ohio (admission in Delaware, Indiana, Kentucky, Maryland, Michigan, Pennsylvania, Virginia, or West Virginia is helpful but not required).

  2. A minimum of three to five years of relevant experience.

  3. Experience and knowledge in one or more of the following areas of the law:

a. Commercial or financial contracts and transactions

b. Energy/Utilities

c. Municipal

d. Environmental

e. Labor & Employment

f. Information Technology

  1. Exceptional written and verbal communication skills, with experience communicating legal principles to business teams and those with non-legal backgrounds.

  2. Excellent academic credentials.

  3. Ability to prioritize multiple projects/tasks with attention to detail and ability to be a self-starter.

  4. Excellent analytical, organizational, diplomatic, influence, communication, leadership, analytical, and writing skills.

  5. Proficiency in Word and Excel.
