Expected salary range of $188,100 to $209,000, varies based on experience, along with comprehensive benefits package that includes bonus and 401(k).
PRIMARY PURPOSE OF POSITION
Provides legal advice regarding ERISA compliance, benefits eligibility, benefits related contracts.
Research legal issues, reviews and revises plan documents, summary plan descriptions, prospectuses, participant communications, and other documentation for a variety of plans and programs; reviews and interprets legal documents; monitors legislation and ensures compliance with applicable statutes and regulations; applies and interprets statutes and regulations and recommends appropriate action.
Contributes to cross-functional or departmental projects and teams.
Supports more senior attorneys in the ongoing management of relationships and matters with Constellation Operating Companies/Business Units and outside counsel.
Demonstrates superior legal judgment in the business context.
Demonstrates innovation; generates new ideas and devises original and successful solutions, programs or actions.
Develop and update employee benefits and compensation related policies and guidance.
Monitor applicable laws, rules, regulations, industry standards, and case law developments; advise Constellation Operating Companies/Business Units with respect to relevant changes and trends; develop and deliver education and training.
Influence team members of all levels within the organization by identifying and analyzing options that mitigate risk while driving business priorities.
PRIMARY DUTIES AND ACCOUNTABILITIES
Under minimal supervision: plans, conducts and supervises complex legal assignments, necessitating ability to evaluate matters which may have a major bearing on the conduct of the Company’s business; evaluates both legal and business risks and advises clients accordingly. Interprets and applies organization policy according to law.
Monitor and identify legal developments such as relevant statutes, regulations, case law and legal articles affecting employee benefit and compensation plans and programs.
Maintain and update compliance library resources, including cross checking and validating that information is up-to date.
Provide advice on the design, implementation and administration of the company’s qualified and non-qualified retirement, health and welfare, and compensation plans and programs.
Support the Corporate Secretary with respect to drafting of the compensation disclosure for the company’s annual proxy statement as well as compensation-related board materials and investor outreach materials.
Draft and negotiate employment and compensation arrangements.
Proactively review employee benefit and compensation policies to ensure legal compliance and consistency with best practices.
Support mergers, acquisitions, financings, and other corporate transactions with counsel on executive compensation, benefits, equity, and employment tax matters.
Review, negotiate and draft compensation and benefit plan-related vendor agreements.
Efficiently identify and analyze the legal aspects of a business problem and provide practical, actionable legal advice.
Projects/duties as assigned.
MINIMUM QUALIFICATIONS
An LLB or JD from an accredited law school and be licensed to practice law in the relevant jurisdictions.
At least 5 to 8 years of professional experience in a specialized area of law.
Possesses and applies a comprehensive knowledge of principles, practices and procedures of the legal field to the completion of complex assignments.
Requires excellent legal research, analytical abilities and on ongoing knowledge of federal or state law.
Must have the ability to communicate clearly both orally and in writing; to read and analyze legal materials and other data; to work in stressful conditions under time deadlines.
Preferred Qualifications
Must have background and understanding of the various laws that retirement, health and welfare, and compensation plans including ERISA, ACA, COBRA, HIPAA, Mental Health Parity, Form 5500, Internal Revenue Code, including 409A, and related claims and appeals processes.
Ability to communicate complex legal concepts clearly and efficiently verbally and in writing to non-lawyers and provide risk-based compliance approaches.
Ability to work independently to manage multiple, competing priorities and attain results by exercising appropriate judgment to manage matters through ambiguity and to completion.
Requires excellent legal research, analytical abilities and on ongoing knowledge of employee benefits and compensation law.
Experienced in Compensation and Employee Benefits Law
Experience in M&A with employee benefits and compensation related matters
