AES Distributed Energy, leading the way in solar and solar + storage, is currently seeking a transactional paralegal to join the company in its Boulder, CO office. This individual will be responsible for providing primary legal support on project finance, tax equity and project acquisition transactions, working on cutting edge deals with a crossfunctional dynamic team at AES Distributed Energy.

Essential functions of the position include, but, are not limited to:

  • Manage closing process for project finance, tax equity and project acquisition transactions, including by preparing and managing closing checklists, preparing deliverables, tracking signature pages, ordering good standings and certified formation documents, etc.

  • Work directly with attorneys, commercial and finance leads and counterparties during project finance, tax equity and project acquisition transactions.

  • Prepare typical corporate deliverables including resolutions, certificates, operating agreements, and membership interest certificates.

  • Assist attorneys in the review and drafting of various legal documents.

  • Assist with due diligence efforts on project finance, tax equity and project acquisition transactions, working closely with the company’s finance, development, O&M and EPC teams.

  • Obtain lien and litigation searches. Assist lawyers in the preparation and filing of UCC filings and handle UCC filing search requests in all states. File documents necessary to perfect a secured loan transaction.

  • Implement and refine contract management system.

Requirements:

  • 5 - 6 years transactional paralegal experience.

  • Familiarity with project finance, tax equity and renewable energy development.

  • Strong work ethic and ability to self-start in a fast-paced environment

  • Strong organization and communication skills

  • Strong attention to detail

  • Effective oral and written communication

  • Desire to take on responsibility

  • Ability to work with little supervision and to seek help when needed
